Terms and Conditions for Idea Submittal Form - Starting Points: Operationally Curious Questions
 

By submitting an idea through this form, you agree to the following terms and conditions:

1. Idea Submission: You understand and acknowledge that The HOP Nerd LLC ("the Company") has developed the Starting Points: Operationally Curious Questions platform ("the Platform") and is continuously seeking new ideas and concepts to enhance and expand its services. You agree to submit your idea voluntarily and without any expectation of compensation or ownership rights.

2. Ownership and Rights: You acknowledge and agree that any ideas, suggestions, concepts, or materials submitted through this form ("the Ideas") shall become the sole property of the Company upon submission. You hereby irrevocably assign and transfer all rights, titles, and interests in the Ideas, including any intellectual property rights, to the Company.

3. Authorization to Use: You grant the Company an unrestricted, worldwide, royalty-free, perpetual, irrevocable, and non-exclusive right and license to use, reproduce, modify, adapt, publish, distribute, and display the Ideas, in whole or in part, in any media or formats now known or hereafter developed, for any purpose The HOP Nerd LLC sees fit, including but not limited to the development, marketing, promotion, and enhancement of the Platform.

4. No Obligation to Use: The Company has no obligation to use, evaluate, or implement any of the Ideas submitted through this form. The Company retains the sole discretion to determine whether to pursue or further develop any submitted Ideas.

5. Confidentiality: You understand and acknowledge that the Ideas you submit may be similar to concepts or ideas already known to the Company or may be independently developed by the Company in the future. You agree that your submission does not establish a confidential relationship or obligate the Company to treat the Ideas as confidential.

6. Release and Waiver: You release and discharge the Company, its officers, directors, employees, agents, and affiliates from any and all claims, liabilities, or demands, whether known or unknown, arising out of or in any way connected to the use or implementation of the Ideas submitted through this form.

7. No Payment or Compensation: You expressly waive any right to compensation, royalties, or any other form of financial or non-financial remuneration for the use of the Ideas submitted, whether such use occurs now or in the future. You understand and agree that you will not receive any payment or consideration for the Ideas or any resulting products, services, or intellectual property developed by the Company.

8. Indemnification: You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of these terms and conditions or any third-party claim alleging that the Ideas infringe upon any intellectual property rights or other rights of a third party.

9. Governing Law and Jurisdiction: These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction where the Company is registered. Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

10. Severability: If any provision of these terms and conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
